Club Constitution & Rules.
Name:
The Club shall be called “Worthing Rebels Football Club”.
Objects:
The objects of the Club shall be to arrange association football matches & social activities for its members to incorporate youth (both boys & girls) , men & ladies sections where possible. Subject to their compliance with the Club's rules & codes of conduct membership will be offered to all , irrespective of their sex , religious beliefs , ethnic origin & football ability.
Status of Rules:
The Club's rules form a binding agreement with each member & disciplinary measures may be invoked in the event of a breach of these rules.
Rules & Regulations:
The Club shall , for the duration of its' existence , have the status of an Affiliated Member Club of The Football Association by virtue of its' affiliation to/membership of The Football Association. The Rules & Regulations of the Football Association & Sussex County Football Association & any League to which the club affiliates shall be deemed to be incorporated within the Club's own rules.
No alteration to the Club Rules shall be effective without prior written approval by Sussex County Football Association.
The Club will abide by the Football Association's Child Policies & Procedures , Codes of Conduct & the Equal Opportunities & Anti Discrimination Policy.
Club Membership:
The Club Secretary will maintain at all times a Membership Register & those persons listed therein will be deemed club members.
Any person wishing to become a member must apply by completing the approved Club Membership & Registration Form & their signature to this form will confirm their willingness to comply with the Club's Rules & Codes of Conduct. Membership approval will be at the sole discretion of the Club Committee.
Membership will become effective upon an applicant's name being added to the Membership Register.
Any member that resigns or is expelled will be deleted from the Membership Register.
The Football Association & Sussex County Football Association shall be granted access to the Membership Register on demand.
Annual Membership Fee:
An annual fee payable by each member shall be determined in advance at the Club's Annual General Meeting. The Club reserve the right to vary this fee periodically and between each distinct section of the Club.
Where Club funds & financial prudence permit, it is the intention to offer all members the ability to pay annual fees by periodic instalments the details of which will be published on the Membership Application Form.
The Club Committee have the authority to levy further subscriptions from the members as are reasonably necessary to fulfil & finance the Club objectives.
Where genuine financial hardship is experienced by a member or, for youth members, their family then the Club Committee have the ability to reduce fees or amend payment frequencies to assist.
Resignation & Expulsion:
In the event that membership fees are not paid by the required dates then, at the discretion of the Club Committee, members may be suspended or expelled.
A member shall cease to be a member of the club if & from the date on which he/she gives notice to the Club Committee of their resignation.
The Club Committee shall have the power to expel a member after due consideration when, in their opinion, it would not be in the best interests of the Club for them to remain a member. In this event there would be no right of appeal.
A member who resigns or is expelled shall not be entitled to claim any, or a share of any, of the Club property.
Club Committee:
The Club Committee shall consist of the following Club Officers:
Chairperson, Vice Chairperson, Treasurer, Secretary (who will be responsible for recording minutes).
In addition up to a further five members may be elected at the AGM.
Each Club Officer / Committee Member will hold office from the date of appointment until the next AGM unless otherwise resolved at a Special General Meeting. Key offices (Chairperson, Treasurer, and Secretary) will be elected at the AGM for a period of no more than two years.
One person may hold no more than two positions of Club Officer at any time.
The Club Committee shall be responsible for the management of all the affairs of the Club.
Decisions of the Club Committee will be made by a simple majority of those attending the Club Committee Meeting; In the event of a tie the Club Chairperson will have the casting vote.
Meetings of the Club Committee will be chaired by the Chairperson or, in their absence, the Secretary.
The quorum for the transaction of business of the Club Committee shall be three.
Decisions of the Club Committee of meetings shall be entered into the Minute Book of the Club to be maintained by the Club Secretary.
Any member of the Club Committee may call a meeting by giving not less than seven days written notice to all members of the Club Committee.
The Club will hold monthly Club Committee meetings on the last Thursday of each calendar month unless otherwise notified.
An outgoing Club Committee member may be re-elected. Any vacancy on the Club Committee arising between AGMs shall be filled by a member proposed by one & seconded by another & approved by a simple majority of the remaining Club Committee members.,
Save as provided for in the Rules & Regulations of The Football Association & The Sussex County Football Association the Club Committee shall have the power to decide all questions & disputes arising in respect of any issue concerning the Club Rules.
Annual & Special General Meetings:
An Annual General Meeting will be held each year to:
a) Receive a report of the activities of the Club over the past twelve months.
b) Receive a report of the Club's finances over the past twelve months.
c) Elect the members of the Club's Committee
d) Agree the membership fees & payment structure for the following year.
e) Consider any other business.
Details of the AGM will be published to all members in advance to encourage maximum attendance & participation.
Nomination for election of Club Officers should be made in writing to the Club Secretary no less than 21 days before the AGM & should include details of a proposer & seconder both of whom must be members.
Notice of any resolution to be proposed at the AGM shall be given in writing to the Club Secretary no less than 21 days in advance.
A Special General Meeting may be called at any time by the Committee & shall be called within 21 days of the receipt by the Club Secretary of a written requisition signed by at least 5 members stating the purposes for which the meeting is required & resolution(s) proposed.
Business at a SGM may be any business that may be transacted at an AGM.
The quorum for a General Meeting shall be three.
The Chairperson or , in their absence , Secretary shall take the chair.
Each member present shall have one vote & resolutions shall be passed by a simple majority.
The Chairperson will have the casting vote in the event of a tied vote.
The Club Secretary or , in their absence , another member of the Club Committee , shall record the Minutes of General Meetings into the Club's Minute Book.
Club Teams:
At the AGM the Club Committee shall appoint a Club member to be responsible for each of the Club's football teams. These persons will then be responsible for managing the affairs of their respective team. Where new members are appointed as team managers this shall only take place after relevant Child Protection procedures have been fully & satisfactorily completed.
Team managers may be requested to present a report on their team's activities at future AGMs.
Club Finances:
A bank account shall be opened & maintained in the Club's name.
Designated club signatories shall be the Club Chairperson , Secretary , Treasurer & one other full Committee Member. A minimum of two signatures are required far all cheque withdrawals.
All monies payable to the Club will be received & documented by the Treasurer & deposited in the Club bank account.
The income & assets of the Club will be used solely in the furtherance of it's objectives.
The Club Committee shall have the power to authorise the reimbursement of any expenses necessarily incurred by any member &/or third party for services rendered to the Club.
The Club shall prepare an annual Financial Statement in such form as is approved & published by the Football Association from time to time. This statement will be made available for inspection to any Club Member.
Club property , other than the Club bank account , shall be vested in not less than two custodians , one of whom shall be the Treasurer who shall deal with the Club's property as directed by the Club Committee. Entry in the Club Minute Book shall be conclusive evidence of such a decision. The Club will appoint a Committee Member to be called “Kit Officer”.
Dissolution:
A resolution to dissolve the Club shall only be proposed at a General Meeting & shall be carried by a majority of at least 75% of the members present.
The dissolution shall take effect from the date of the resolution & the members of the Club Committee shall be responsible for the winding up of the assets & liabilities of the Club.
Any surplus assets remaining after the discharge of all debts/liabilities shall be transferred to Sussex County Football Association who shall then determine how these assets should be utilised for the benefit of the game.
Alternatively , such assets may be disposed of in such other manner as the Club Members determine subject to the prior approval of Sussex County Football Association.
